i have the stock stero and cd set up. no bass but the head unit has a lot of great features i like and wouldn't mind keeping it. i know for about 400 bucks from honda you can get a sub and 2 rear replacement speakers. i'm not tryin to go wild just better. any thoughts

If you are only looking to spend $400, then the dealer is your best option.
If you are willing to spend more, I suggest adding a 4 channel amp, moving the front speakers to the back and putting some decent aftermarket speakers there w/ a 10" sub in the trunk. The fronts and sub would be powered by the amp and the rears by the head unit. This should run about $1500-$1700.

so i'd end up with 6 speakers + the 10"sub. thanks for the input:thumbsup

Doesn't have to be 6 speakers (unless you want to use a seperate system up front). You can always use a good coaxial speaker, I like the sound of Polk Audio's stuff or Alpine has a nice set of coaxials that sound good also.
